All contents of this agreement, including any modifications made by YaGood to the user agreement at any time. If you do not agree to this agreement and/or any modifications to it, please immediately stop registering and using all services provided by YaGood.
1. Acceptance of Terms
1.1 The operators of YaGood website and its related affiliated companies (hereinafter referred to as "YaGood") provide internet services based on YaGood website (including YaGood PC terminal, YaGood and YaGood related clients, mobile web terminals, etc.) in accordance with the terms of this user agreement and rules published from time to time. The terms of this agreement may be modified by YaGood at any time, and the modified user agreement shall be effective upon publication on the website, replacing the original user agreement. Once you register on YaGood website, you become a YaGood user (hereinafter referred to as "user" or "you") and are bound by this agreement.
1.2 When you use single services of YaGood website, you and YaGood shall comply with the guidelines and rules related to such services published by YaGood from time to time. All the aforementioned guidelines and rules constitute part of this user agreement.
1.3 You shall comply with all terms of this agreement and use the services provided by YaGood legally and reasonably. Otherwise, YaGood has the right to interrupt or terminate providing services to you according to this agreement. At the same time, YaGood reserves the right to reclaim your account at any time.
2. Service Description
2.1 YaGood provides users with services including but not limited to: publishing and sharing notes and comments on brand products, goods, and activities; collecting notes, etc. Unless otherwise expressly provided in this agreement, any new functions that YaGood adds or strengthens to the current services, including new products launched, shall be subject to this user agreement.
2.2 You understand and agree that YaGood's services, products and materials are provided only as they are currently presented, and YaGood expressly refuses to give any express or implied warranties or guarantees for "services", "materials" or "products", including but not limited to warranties or guarantees for commercial use, suitability for specific purposes or non-infringement of others' rights. YaGood shall not be responsible for any direct, indirect, incidental or consequential losses arising from "services", "products" or "materials". YaGood shall not be responsible for any problems such as timeliness, deletion, transmission errors, failure to store or any other issues regarding any user information or settings.
2.3 You agree that YaGood has the right to formulate general measures and restrictions on the use of this service, including but not limited to the longest period for retaining published content or other published content by this service, and the upper limit of the number of times you use this service within a certain period (and/or the upper limit of each use time). For any information, communication data and other content published or transmitted through this service, if deleted or not stored, you agree that YaGood shall not bear any responsibility. You also agree that YaGood has the right to change these general measures and restrictions at its own discretion, whether notified or not.
3. Your Registration Obligations
3.1 To use this service, in accordance with the requirements of Chinese law, you agree to the following: fill in your correct registration email, password, name, mobile phone number and other information according to the service registration prompts, and ensure the authenticity, validity and legality of the updated login email, name, avatar and mobile phone number and other information in the future. If you provide any illegal, immoral or materials that YaGood considers inappropriate for display on YaGood website; or YaGood has reason to suspect that your behavior belongs to programmatic or malicious operations, YaGood has the right to suspend or terminate your use of the account without prior notice, and refuse you to use all or any part of this service now and in the future.
3.2 YaGood shall not be responsible for any registration or registration data of you (any user), including but not limited to the responsibility of identifying, verifying the authenticity, correctness, completeness, applicability and/or whether it is the latest data of any registration or registration data.
4. User Account, Password and Security
4.1 After completing the registration process of this service and successfully registering, you can use your registered email/mobile phone number and password to log in to your account on YaGood website (hereinafter referred to as "account"). Upon completion of registration, you have obtained the right to use the account. Protecting the security of the account is your responsibility.
4.2 You shall be fully responsible for all behaviors using your account. You agree:
1) If your YaGood account is subject to unauthorized use, or any other security issues occur, you will immediately notify YaGood;
2) If you fail to keep your account and password properly, YaGood shall not be responsible for any losses or damages caused thereby;
3) You shall be fully responsible for all damages caused to you, YaGood or third parties by all behaviors using the account, including the situation where you fail to keep your account or password properly.
4.3 Since personal information can be obtained through the account and the ownership of the account belongs to YaGood, unless expressly provided by law, users cannot transfer, sell or lend the account to others without YaGood's consent.
4.4 If you have not logged in to YaGood platform for six consecutive months and there is no valid business that has not expired, YaGood has the right to restrict your use of the account. The adverse consequences caused thereby shall be borne by you.
4.5 If you choose to bind your YaGood account with a third-party account, except for your own unbinding, if any of the following situations occurs, your bound third-party account may also be unbound and YaGood shall not be responsible to you or any third party:
1) You violate laws and regulations, national policies or this agreement;
2) You violate the user agreement of the third-party account or its relevant provisions;
3) Other situations requiring unbinding.
5. Protection of User Personal Information
5.1 Protecting the security of your personal information is both a legal requirement and a basic principle that YaGood has long adhered to. Your registration data and other data about you retained by YaGood will be protected by relevant Chinese laws. YaGood will collect, store, use and disclose your personal information in accordance with Chinese law, this agreement, and YaGood Personal Information Protection Policy.
5.2 Under normal circumstances, you can browse and modify your information on YaGood at any time, but for security and identity recognition considerations, you may not be able to modify the initial registration information and other verification information provided during registration.
6. Provider's Responsibility
6.1 According to relevant laws and regulations, YaGood hereby solemnly reminds you that any text, music, pictures, graphics, videos or other materials (hereinafter referred to as "content") published or uploaded through this service, whether transmitted publicly or non-publicly, shall be borne by the content provider. YaGood only provides users with information storage space services and cannot control the content transmitted through this service, so it does not guarantee the correctness, completeness or effectiveness of the content. You have foreseen that when using this service, you may encounter unpleasant, inappropriate or disgusting content. In any case, YaGood is not responsible for any content, but YaGood has the right to stop transmitting any of the aforementioned content in accordance with the law and take corresponding actions, including but not limited to suspending all or part of the user's use of this service, saving relevant records, and reporting to relevant authorities.
6.2 You expressly understand and agree that YaGood shall not bear any direct, indirect, incidental, special, derivative or punitive compensation liability for losses caused by the following reasons, including but not limited to economic, reputation, data loss or other intangible losses:
1) Use or inability to use this service;
2) Costs incurred to replace any goods, data, information, services, messages received from or through this service, or transactions concluded with third parties;
3) Your transmission or data being subject to unauthorized access or change;
4) Any statements or actions made by any third party in this service;
5) Third parties publishing or delivering fraudulent information in any way, or inducing users to suffer economic losses;
6) Other matters related to this service, except as expressly provided in this user agreement.
7. Service Change, Interruption or Termination
7.1 YaGood may change the service content, and may also interrupt or terminate the service.
7.2 Given the particularity of network services (including but not limited to server stability issues, malicious network attacks or other situations that YaGood cannot control), you agree that YaGood has the right to interrupt or terminate part or all of the services at any time.
7.3 You understand that YaGood needs to maintain, upgrade or suspend part or all of the services for the platform or related equipment that provides services regularly or irregularly. If the service is interrupted within a reasonable time due to such situations, YaGood shall not be responsible for this.
7.4 If any of the following situations occurs, YaGood has the right to interrupt or terminate providing services under this agreement at any time without being responsible to you or any third party:
1) You provide untrue personal data;
2) You violate laws, policies or this user agreement.
7.5 You agree that YaGood, based on its own consideration, for any reason, including but not limited to lack of use, or YaGood believes that you have violated this user agreement, may terminate your account or the use of this service (or any part of the service), and remove and delete any content you have in this service. You agree that the services provided in accordance with any provision of this user agreement may be interrupted or terminated without prior notice. You acknowledge and agree that YaGood can immediately close or cancel your account and delete all relevant information and files in your account, and/or prohibit continued use of the aforementioned files or this service. In addition, you agree that if the use of this service is interrupted or terminated or your account and related information and files are closed or cancelled, YaGood shall not be responsible to you or any third party.
8. Warranty and Guarantee
You expressly understand and agree:
1) Any provision of this user agreement shall not exempt YaGood from any liability for personal injury or property loss caused by its fault;
2) YaGood does not guarantee the following:
· This service will meet your requirements;
· This service will be uninterrupted, provided in a timely manner, secure and reliable or error-free;
· The results obtained using this service are correct and reliable;
· Any products, services, information or other information you purchase or obtain through this service will meet your expectations;
3) Whether to use this service to download or obtain any materials shall be considered by you and at your own risk. Any consequences such as damage to your computer system or data loss caused by downloading any materials shall be borne by you;
4) Any advice or information you obtain from YaGood or through this service, whether in written or oral form, shall not constitute any guarantee outside this user agreement unless expressly provided in this user agreement.
9. User Behavior
9.1 You shall comply with relevant laws and regulations of the People's Republic of China and agree to be fully responsible for any behavior and its results of using this service in any way using your login account. If your behavior violates national laws, you shall bear all legal responsibilities in accordance with the law; if it is suspected to constitute a crime, judicial organs shall investigate your criminal responsibility, and YaGood website will strictly cooperate in accordance with the obligations stipulated by law and the requirements of judicial organs.
At the same time, if YaGood has reason to believe that any of your behaviors, including but not limited to any of your statements or other behaviors, violate or may violate any provisions of national laws and regulations, YaGood may terminate providing services to you at any time without any prior notice.
9.2 You agree not to use this service for any illegal or improper activities, including but not limited to the following behaviors:
1) Publishing or otherwise transmitting information containing any of the following:
· Opposing the basic principles determined by the Constitution;
· Endangering national security, leaking state secrets, subverting state power, and undermining national unity;
· Harming national honor and interests;
· Inciting ethnic hatred, ethnic discrimination, and undermining ethnic unity;
· Undermining national religious policies, promoting cults and feudal superstitions;
· Spreading rumors, disturbing social order, and undermining social stability;
· Spreading obscenity, pornography, gambling, violence, murder, terror or abetting crime;
· Insulting or slandering others, infringing on the legitimate rights and interests of others;
· Containing false, fraudulent, harmful, threatening, infringing on others' privacy, harassing, infringing, defaming, vulgar, obscene, or other morally offensive content;
· Containing content restricted or prohibited by Chinese laws, regulations, (departmental) rules and any norms with legal effect;
· Containing content that YaGood considers inappropriate for display on YaGood;
2) Endangering the legitimate rights and interests of others in any way;
3) Impersonating any other person or organization, or falsely or untruthfully stating or falsely claiming to be related to any person or organization;
4) Publishing, sending emails or otherwise transmitting any content known but not authorized to transmit under any law, contract or legal relationship (such as internal data, exclusive and confidential data known or disclosed due to employment relationships and confidentiality agreements);
5) Publishing or otherwise transmitting content that infringes on others' copyrights, patent rights, trademark rights, trade secrets, or other exclusive rights (hereinafter referred to as "exclusive rights");
6) Publishing, sending or otherwise transmitting any "advertising letters", "promotional materials", "spam emails", "excessive emails", "chain letters", "direct sales" or other forms of solicitation materials;
7) Publishing, sending or otherwise transmitting any materials designed to interfere with, damage or limit the functions of any computer software, hardware or communication equipment computer viruses (including but not limited to Trojan horses, worms, time bombs, cancelbots (hereinafter referred to as "viruses") or other computer codes, files and programs;
8) Interfering with or damaging this service or servers and networks connected to this service, or violating any provisions, procedures, policies or norms regarding the network connection of this service;
9) Tracking, doxxing or otherwise harassing others;
10) Intentionally or unintentionally violating any applicable local and national laws, as well as any rules with legal effect;
11) Intercepting, tampering with, collecting, storing or deleting your or others' personal information, intra-site emails or other data without legal authorization, or using such known data for any illegal or improper purposes.
You have recognized that YaGood does not fully control users' behavior, and when you use any content, including relying on the correctness, completeness or effectiveness of the aforementioned content, you agree to make your own judgment and bear all risks, rather than relying on YaGood. However, YaGood, at its own discretion, has the right to refuse and delete any content provided through this service that violates these provisions or other content that causes YaGood's displeasure.
9.3 Due to any claims or requests made by any third party arising from or resulting from the content you provide, publish or transmit through this service, your connection to this service, your violation of this user agreement, or your infringement of any rights of others, including but not limited to reasonable attorney fees and litigation fees, you agree to compensate YaGood and its subsidiaries, affiliated companies, senior officers, agents, brand co-owners or other partners and employees, and keep them harmless, and bear all legal responsibilities arising therefrom.
9.4 You agree not to copy, copy, sell, resell or use for any other commercial purposes any part of this service or the use or acquisition of this service.
10. Intellectual Property
10.1 The intellectual property rights of the content provided by YaGood in this service (including but not limited to web pages, interface design, layout framework, text, audio, video, pictures or other materials, etc.) belong to YaGood or relevant rights holders. Unless otherwise agreed, the copyright, patent rights and other intellectual property rights of the software, systems, etc. relied on by YaGood when providing this service belong to YaGood. YaGood website, YaGood and other YaGood logos and product and service names are trademarks of YaGood. Without YaGood's prior written consent, you shall not delete, cover or change YaGood's copyright notices, trademarks or other rights statements, display or use or otherwise handle YaGood's trademarks in any way, or indicate that you have the right to display, use or otherwise handle YaGood's trademarks.
10.2 The content you upload or publish on YaGood website shall be guaranteed to be owned by the copyright holder or has obtained legal authorization, and the content will not infringe on the legitimate rights and interests of any third party. Clicking to agree to this agreement indicates that you agree to grant YaGood a non-exclusive use license for all the aforementioned content, according to which YaGood will have the right to use the aforementioned content in ways not prohibited by Chinese law, such as display and promotion. At the same time, you agree to license YaGood to defend your rights against any entity infringing on your rights and interests as appropriate, including but not limited to sending rights protection letters, filing lawsuits, applying for arbitration, etc., whose effectiveness applies to any content protected by copyright law published by users on YaGood website. You can also authorize other third parties to defend your rights, and you can terminate the authorization to YaGood at any time.
10.3 You have the right to authorize the content you publish on YaGood website to others for use. YaGood welcomes you to prioritize YaGood for cooperation on related content.
10.4 You understand and agree that this service and the related software used by this service contain proprietary confidential materials protected by relevant intellectual property and other laws. You also understand and agree that the content contained in sponsored advertisements or information presented to you through this service or advertisers is also protected by copyright, trademark, patent or other exclusive rights. Without the express authorization of YaGood or advertisers, you shall not modify, rent, lend, sell, distribute any part or all of this service or software, or create derivative works based on it, or use modified software without authorization. YaGood only grants you a personal, non-transferable and non-exclusive right to use, enabling you to use its software on a single computer, but you shall not (and shall not allow any third party) copy, modify, adapt, translate, create derivative works, perform reverse engineering, reverse assembly, disseminate or otherwise discover source code, or sell, transfer, re-license or provide software guarantees, or otherwise transfer any rights of the software. You agree to use this service through the interface provided by YaGood rather than any other means.
10.5 If you violate the Universal Copyright Convention, Copyright Law of the People's Republic of China, Trademark Law, Patent Law, Anti-Unfair Competition Law and other laws and regulations related to intellectual property or this agreement, you shall bear the damage caused to others (including YaGood) and bear corresponding legal responsibilities.
11. User Exclusive Rights
11.1 YaGood respects the legitimate rights and interests of others (including intellectual property rights, reputation rights, goodwill rights, etc.), and calls on you to also respect the legitimate rights and interests of others.
11.2 If you violate the prohibitive provisions of laws and regulations, infringe on the legitimate rights and interests of others or public interests, YaGood will delete specific content or even terminate your use of the account in accordance with national laws and regulations, or under appropriate circumstances, in accordance with this agreement or its relevant provisions.
11.3 If you believe your legitimate rights and interests have been infringed, please submit complaints through email hi@yagood.com, and YaGood will handle them in accordance with the law.
12. Special Notice for International Use
You have understood the borderless nature of the Internet and agree to comply with all local laws and regulations regarding online behavior and content. You specifically agree to comply with all applicable laws and regulations regarding the transmission of information exported from China or your country or region.
13. Minor Use Terms
If you are a minor user, please read this user agreement carefully accompanied by a legal guardian, and you and the legal guardian shall bear responsibilities in accordance with the law and this agreement.
14. General Terms
14.1 Community Guidelines, Copyright Statement, and YaGood Personal Information Protection Policy published by YaGood are all effective components of this agreement. This agreement and guidelines and rules related to YaGood services (including YaGood single service guidelines, such as: YaGood Original Statement, etc.) together regulate your use behavior of this service. When you use related services, use content or software provided by third parties, you shall also comply with applicable additional terms and conditions.
14.2 This user agreement and your relationship with YaGood shall be governed by the laws of the People's Republic of China. Disputes between you and YaGood regarding this service, this user agreement or other related matters shall first be resolved through friendly negotiation, and if negotiation fails, shall be submitted to the people's court with jurisdiction where YaGood's actual operator is located for litigation resolution.
14.3 YaGood's failure to exercise or enforce any right or provision of this user agreement shall not constitute a waiver of the aforementioned rights or rights.
14.4 If any provision of this user agreement is invalid due to conflict with the laws of the People's Republic of China, other provisions of this user agreement shall still have full force and effect.
14.5 The titles of this user agreement are for convenience only and do not have any legal or contractual effect.
